Where a signed proposal, statement of work or service agreement exists between you and us, that document controls in the event of a conflict with these Terms.
We provide web design, web development, e-commerce development, web application development, hosting, maintenance and related consulting services. The scope, deliverables, timeline and price of each project are defined in a written proposal accepted by both parties.
Work requested outside the agreed scope is treated as a change request and may be billed separately after your approval.
You agree to provide accurate information, content, feedback and approvals in a timely manner. Delays in providing these may affect the project timeline. You are responsible for ensuring that any text, images, logos or other materials you supply do not infringe the rights of others and comply with applicable law.
Upon payment in full, you own the final deliverables created specifically for your project, including custom code, design files and content we produce for you. We retain ownership of our pre-existing tools, code libraries and know-how, and grant you a perpetual, non-exclusive license to use them as part of your deliverables.
Third-party software, fonts, plugins and themes remain subject to their own licenses. Unless you request otherwise in writing, we may display completed work in our portfolio.
All content on this website, including text, graphics and design, is the property of Meridian Interactive LLC and may not be copied without permission.
We will perform our services in a professional manner consistent with industry standards. For 30 days after launch, we will fix defects in our work at no charge. This warranty does not cover issues caused by changes made by you or third parties, third-party services, hosting providers you control, or browser and platform updates released after launch.
Except as stated above, the website and services are provided "as is" without warranties of any kind, express or implied. We do not guarantee specific search rankings, traffic, sales or business results.
To the fullest extent permitted by law, Meridian Interactive LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising from any project or service will not exceed the amount you paid us for that project or service in the 12 months before the claim arose.
Either party may end a project by written notice if the other party materially breaches its obligations and does not cure the breach within 15 days. If a project ends early, you agree to pay for work completed up to the termination date, and we will deliver the work paid for.
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Warren County, Kentucky, and both parties consent to that jurisdiction.
We may update these Terms from time to time. The effective date above shows when they were last revised. Continued use of the website after changes means you accept the updated Terms.
